Discussion ensued:
Todd emphasized having the new entity’s Board consist of current Board members, which would ultimately
benefit the work of DDP. The new Board could approve extension of their tenure.
Diane stressed the need for the attorney to review the By-Laws for final tweaks.
Codi questioned if the new Board could move unilaterally without the DDP’s Board approval for action.
Mayor Christiansen emphasized simplicity is key.
Todd emphasized the need for the entity to be able to accept gifts/donations and the by-laws can be
amended to deter conflict between the two boards of directors.
Ken stressed the requirements of the Master Plan cannot be realized without the 501 (c)(3). There was
suggestion of tabling the vote until further discussion. Todd cautioned the opportunity cannot be
jeopardized by going outside of the 120-day timeline. Although the by-laws may need refining an approval
is needed ASAP.
Codi motioned to approve the application for 501 (c) 3 status, including specifically adoption of:
• By-laws (with the edit to be included in 4.04 (a) that “each DDP member will be eligible to have a
seat on the board...”);
• Gift Acceptance Policy; and
• Conflict of Interest Policy
Sarah Keifer seconded the motion. Councilman Neil and John Van Gorp abstained from the vote. Mayor
Christiansen voted no. The motion carried.
Ken continued to provide updates on master plan priorities:
• 120 S. Governors Ave. demolition: The building has been down for 2 weeks. Lot will be
hydroseeded later this week. This is significant progress.

today from 5-8pm at the Hive. Public invited to provide update. (See flyer in packet).
