Utility Committee Meeting of 03/28/2011
From: McDowell, Traci

Subject: FW: Answer to non-profit status questions posed at Utility Comittee to TEA

Subject: Answer to non-profit status questions posed at Utility Comittee to TEA
Please forward to Utility Committee
Utility Committee members, I received the following explanation of TEA non-profit status, Mr.
McGiffin asked for this.
“TEA is a Georgia nonprofit corporation that the Internal Revenue Service found in 1997 to be an
instrumentality of its governmental members for purposes of Code Section 141--the private use section
of the bond provisions of the Code. Because TEA is an instrumentality for federal tax purposes, your
bond counsel should conclude that there are no private use issues in dealing with TEA. The Internal
Revenue Service has also concluded in 2000 that TEA is exempt from federal income tax under Code
Section 115.
TEA’s seven equity members are the Municipal Electric Authority of Georgia, JEA Inc (formerly
Jacksonville Electric Authority), South Carolina Public Service Authority (Santee Cooper), Nebraska
Public Power District, Gainesville (Fla.) Regional Utilities, City Utilities of Springfield Missouri, and
Public Utilities District No. One of Cowlitz County (WA).”
