1. Welcome
2. Agenda Motion duly made and unanimously approved.
3. Minutes (August Special Meeting) Motion duly made by Councilman Neil, seconded by Codi Canasa, and
unanimously approved.
4. Action items (Contracts/agreements/MOU’s for grants awarded and services pending)
i. ARPA Agreement ($15.2 M) Todd: Agreement has been received and signed. Funds will be advanced on a
quarterly basis according to a projected timeline for associated expenses, including predevelopment costs of 120
S. Governors Ave and the Mobility Center, as well as the design/build of the Mobility Center. The ARPA
Agreement has been signed and board members concurred that upon receipt of these funds they will be
directed to projected expenditures (as outlined in ARPA exhibit).
ii. Mobility Center Design Build Agreement Todd: Board members received the Design Build Agreement with EDiS
Construction for the Mobility Center for review last Thursday. As was just mentioned relating to the ARPA
agreement, ARPA funds will largely be used for construction of the Mobility Center, though there is
approximately $4M funding which we still need to secure to reach the projected cost of $18M and we are
actively seeking those funds at this time.
VOTE: Motion duly made and unanimously approved sign the Design/Build Agreement with EDiS Company for
the build of the Mobility Center. No opposition expressed.
iii. FY 25 Bond Funds MOU (Memorandum of Understanding) Todd provided an update on the ($8.2M) FY 25 Bond
Funds which were approved for DDP projects, largely to be directed to the mixed-use redevelopment project at
120 S. Governors Ave.

iv. New entity formation (Capital City Transformation Alliance, Inc.)
We have discussed for some time now the need to create a new 501 (c)(3) entity. You’ll recall DDP is a 501 (c)(6)
and is ineligible to receive donations that would allow us to provide donors with affirmation of charitable
purposes. The other reason to set up the new entity was to become eligible to receive Downtown Development
District rebate funds through DSHA (DE State Housing Authority) for redevelopment projects. While the latter
did not come to fruition with DSHA, we have indeed come up with other sources of funding toward the projects.
Finally, the new entity will provide additional grant opportunities in furtherance of downtown Dover’s
revitalization efforts.
VOTE: Motion duly made by Linda Parkowski, seconded by Councilman Neil, and unanimously accepted by the
board of directors to file incorporation documents to create the new 501 (c)(3) entity to be named Capital City
Transformation Alliance, Inc.
v. Annual Insurance binding agreement September 1, 2024, to August 31, 2025
I met with our representatives from Connor Strong to review DDP’s insurance coverage for FY 2025. We
anticipated a 10% increase. Our budget for the year is $45,000. With the pending removal of 120 S. Governor’s
Ave. building, and then adding coverage back for it (as a vacant property) after demolition, we will save a few
dollars. All told, the new amount is not expected to exceed $40,000 (vs. the anticipated $45,000).
VOTE: Councilman Neil moved to pay the full invoiced amount of $34,044 for FY 2025 DDP insurance coverage
through Connor Strong, plus an amount to be added, but not anticipated to exceed $6,000 for 120 S. Governors
Ave. to be added as a vacant parcel. Pete Bradley seconded the motion; unanimous approval.
5. Executive Session (property/land acquisition)
VOTE: Move into Executive Session; motion duly made and unanimously approved.
VOTE: Move out of Executive Session; Motion by Fred Neil, Second by Codi Canasa; unanimously approved.
VOTE: Pete Bradley moved to proceed with acquisition of both 148 and 150 S. Bradford St. properties, as
discussed, both of which are required for DDP’s redevelopment of the land mass into the Mobility Center.
Councilman Neil seconded; unanimous approval.
6. Updates
i. Grant in Aid $250,000 awarded
Diane reported that DDP requested $230,000 last September for FY 25 Grant in Aid and received $250,000.
Funds can be used for various projects, activities, and legal/operational expenses of the DDP, but having
completed the request a year ago, the actual allocations of the funding is yet to be confirmed. Thanks again to

Senator Paradee for supporting DDP’s request. Todd reinforced the Senator’s assistance and support
throughout the last several years enabling DDP to move plans forward.
ii. West Street transfer of property to Inner City Cultural League (ICCL)
Todd reports that DDP received confirmation that taxes were paid and no liens remained on the property at 39
West Street, Dover, on which the ICCL is located and on which the ICCL has built the Sankofa Arts Center. The
property deed is now being prepared for transfer from DDP to the Inner City Cultural League.
Senator Paradee explained that he was able to help ICCL to clear up the taxes and ensure that the non-profit
ICCL was added to the tax-exempt list for the County, and further recommended that the City could consider the
same. A celebration to honor Reuben Salters and transfer of the title will be held.
7. New Business
City Manager Dave Hugg indicated that in response to the DDP’s request to acquire several City-owned parcels
relating to recommendations in the Capital City 230 master plan, a resolution is being brought forth to the
Council Committee of the Whole next Tuesday to authorize transfer of requested properties to the DDP and for
abandonment of the “paper alley” between S. Bradford and S. Governor’s Ave. It was requested by Todd that
the property titles, if approved, should be transferred to the new 501(c)(3) entity.
8. Public Comment – N/A
9. Adjourn
VOTE: Councilman Neil moved to adjourn; Pete Bradley seconded; unanimous approval.
