ACTION FORM
PROCEEDING: Legislative, Finance & Administration Committee
DEPARTMENT OF ORIGIN: Finance DATE SUBMITTED: 9/28/14
PREPARED BY: Donna Mitchell, Controller/Treasurer
SUBJECT: Bank Qualified Loan for the Completion of the Street and Storm Water Improvements
at the Garrison Oak Technical Park (GOTP), Self-Contained Breathing Apparatus (SCBA) (Fire), and
Radios (Fire and Police)
REVIEWED BY: Scott Koenig, Interim City Manager
APPROVALS: Committee & Council
EXHIBITS: PNC Proposal for Financing
EXPENDITURE REQUIRED: Will vary based on interest rates at the time of closing and during
AMOUNT BUDGETED: $440,100 annually
TIMETABLE: Closing in October 2014 – November 2014, after Council approval
RECOMMENDED ACTION: Staff recommends acceptance of the PNC Bank proposal and
adoption of Authorizing Resolution No. 2014-12 in the amount of $4,135,000.
The City of Dover Finance Department solicited proposals from local banks to finance the
following projects as presented in the Fiscal Year 2015 Budget presentation.
GOTP - Street & Stormwater Improvements $2,600,000
Radios - Police 329,500
Radios - Fire 296,800
Self Containing Breathing Apparatus - Fire 292,000
Issuance Cost 61,000
Total $3,579,300
The most competitive proposal was submitted by PNC Bank. Three additional proposals were
received from M & T Bank, TD Bank, and WSFS Bank.
The PNC loan proposal references the above projects in Facility 1. The A-Del construction bid was
accepted by City Council in the amount of $4,522,143. This amount coupled with other funds spent
to date did not leave sufficient funds to cover issuance cost of the loan. Therefore, the loan amount
includes an additional $80,700 to cover the budgeted issuance cost and any contingencies needed
between budget estimates and actual cost of the items. The total borrowing for Facility 1 is
$3,660,000. Also note that $2 million of the GOTP project is being financed through a transfer
from the Electric Future Capacity Reserve.
An additional $475,000 is included in the loan, referenced as Facility 2, to refinance our outstanding
2003 General Obligation Bonds with a new fixed rate of .90% as follows.
Bonds Due 7/1/15 - 3.9% interest rate 230,000
Bonds Due 7/1/16 - 4.0% interest rate 245,000
Page 1 of 2
Page 7
Loan Structure
The repayment schedule will be such that the City will repay the principal on this issue just as we
would have done so for the 2003 Bonds. We will realize the reduction in the interest cost during the
two applicable fiscal years. The construction and equipment loan will carry a variable interest rate
through the construction period with interest calculated on the drawdowns. Upon completion of the
construction period the City will elect to continuing the variable rate loan or converting a term loan.
The initial term will be seven years (our preference) with a twenty-year amortization payment.
Recommended Action
Staff has reviewed all proposals and is recommending the acceptance of the PNC Bank proposal for
a total of $4,135,000. (Facility 1 $3,660,000 and Facility 2 $475,000)
