SPECIAL COUNCIL MEETING - ES ACTION (PUBLIC) - Commercial Electric Strategy & Follow-Up - Koenig Evaluation

SPECIAL COUNCIL MEETING A Special Council Meeting was held on March 13, 2017 at 5:36 p.m. with Council President Slavin presiding. Members present were Mr. Anderson (arrived at 5:39 p.m.), Mr. Cole (arrived at 5:59 p.m.), Mr. Hare, Mr. Hosfelt, Mr. Hutchison, Mr. Neil, and Mr. Sudler. Mr. Lewis was absent. Mayor Christiansen was also absent. Council staff members present were Mr. Pepper, Mr. Koenig (departed at 6:13 p.m. and returned at 6:22 p.m.), Mrs. Mitchell (departed at 5:58 p.m.) and Mrs. McDowell. Mr. Hudson was also present (departed at 5:58 p.m.). ADOPTION OF AGENDA Mr. Hutchison moved for approval of the agenda, seconded by Mr. Neil and unanimously carried. Mr. Neil moved to recess into Executive Session pursuant to 29 Del. C. §10004 (b)(6) - Discussion of the content of documents excluded from the definition of "public record" in §10002 of this title where such discussion may disclose the contents of such documents (§10002 (l)(2) Trade secrets and commercial or financial information obtained from a person which is of a privileged or confidential nature) and 29 Del. C. §10004(b)(9) - Personnel matters in which the names, competency and abilities of individual employees are discussed, unless the employee requests that such a meeting be open. The motion was seconded by Mr. Hare and unanimously carried. The Special Council Meeting recessed into Executive Session at 5:37 p.m. The Executive Session recessed into the Special Council Meeting at 6:23 p.m. ACTION RESULTING FROM THE EXECUTIVE SESSION Follow-Up to Council Appointed Employee Performance Evaluation of February 27, 2017 - City Manager, Scott Koenig During the Executive Session, members of Council considered the potential retirement of Mr. Scott D. Koenig, City Manager. Mr. Anderson moved to accept the retirement and severance agreement of Mr. Koenig (as on file in the City Clerk’s Office). The motion was seconded by Mr. Hosfelt and unanimously carried. Mr. Sudler moved that Council would not hire a replacement City Manager until such time as all the costs associated with the severance have been completed. The motion was seconded by Mr. Neil and unanimously carried. Mr. Sudler moved to recess the Special Council Meeting, seconded by Mr. Hutchison and unanimously carried. The Special Council Meeting recessed at 6:25 p.m. Mr. Neil moved to reconvene the Special Council Meeting, seconded by Mr. Sudler and unanimously carried.

Council staff members present were Mr. Pepper, Mrs. Mitchell, and Mrs. McDowell. Mr. Sudler moved to recess into Executive Session pursuant to 29 Del. C. §10004(b)(9) - Personnel matters in which the names, competency and abilities of individual employees are discussed, unless the employee requests that such a meeting be open. The motion was seconded by Mr. Anderson and unanimously carried. The Special Council Meeting recessed into Executive Session at 8:07 p.m. The Executive Session adjourned at 8:14 p.m. ACTION RESULTING FROM THE EXECUTIVE SESSION Follow-Up to Council Appointed Employee Performance Evaluation of February 27, 2017 - City Manager, Scott Koenig (Continued) During the Executive Session, as a result of Mr. Koenig’s announced retirement, members considered the appointment of an interim or acting City Manager. Mr. Sudler moved to appointment Mrs. Donna S. Mitchell as the Acting City Manager, seconded by Mr. Hosfelt and unanimously carried. Mr. Neil moved to adjourn the Special Council Meeting, seconded by Mr. Sudler and unanimously carried. The Special Council Meeting adjourned at 8:15 p.m. TRACI A.
