Do not click links I or open attachments unless you recognize the sender and know the content I is safe. Dave, Thank you for taking the time to talk to me today. As I mentioned I wanted to formally appeal the citation letter that I just received. I hope this email is an adequate reply per your suggestion. As we discussed we are in a tough spot on this. We have made attempts to donate the building to various charities and believe we are going to be successful in donating it to the Central Delaware Habitat for Humanity. Tim Bailey, the executive director, reached out in the early spring to your office and began to inquire about the project. I have talked to my accountant and we are open to a charitable contribution of the building to any qualifying charity, even the City of Dover, as we discussed. Perhaps there is another avenue we can explore through your connections locally to charities or non-profits should the Habitat fall through? Additionally, as a backup, I have been in talks with Cameron Llewelyn from Tidemark Construction about the renovation. We would like to explore the idea with the City to alter the plans as we believe the existing plans as drawn call for some details which make the rebuild of the project financially infeasible as it currently stands. It is our hope that the City and historical folks will allow for us to change the plans to incorporate a smaller support beam, lighter gauge steel, Portland cement in an EIFS (Exterior Insulated Finishing System) option rather than brick. These changes may be the only solution to make this project viable. • 4

Page 5

D Item 1. Without the ability to re-draw and alter some of the plans the ability for me to see the renovation through is extremely challenging financially. Can you please let us know if this is a possibility so that we can re-engage the architect with these changes? Without some type of assurances that the City is OK to such changes we are at a standstill and our ability to move forward on this project may be in jeopardy. Lastly, we are still dealing with the insurance company (Liberty Mutual) on the pending settlement of the Business Income claim. This is still an ongoing process.... I am attaching here the commercial appraisal that we have had run on the property, please feel free to share this with anyone you see fit. It appraised for $215,000.00. Please let me know if there is anything else you need from me. I appreciate your patience with this. We are trying to get it resolved. Could you let me know you have received this email? The date of the value estimate is March 23, 2021, the day my physical inspection of the real estate was completed. The subject property consists of a 0.02+/- acre, rectangular-shaped tax parcel that is improved with a three story mixed office/apartment structure containing 2,690+/- square feet of gross building area. Hylind, his affiliates, successors, assigns, and any additional users including participants specified herein, as the basis for determining fair market value for a donation decision. This is an Appraisal Report that is intended to comply with the reporting requirements set forth under the Uniform Standards of Professional Appraisal Practice (USPAP), as permitted under Standards Rule 2-2(a). I have included photographs of the subject property, location/tax maps, a summary of pertinent factual data, and a synopsis of the analysis/conclusions. Your appraiser does not authorize and is not responsible for use of this report by any party other than the previously cited client and intended user of the appraisal. Your appraiser has acted in an independent capacity, therefore, the completion of this assignment and conclusion to value were not based on a requested minimum valuation, a specific valuation or the approval of a loan. Also, your appraiser has no direct interest, financial or otherwise, in the property or the transaction beyond the scope of this appraisal assignment. D Item 1. The appraisal includes appropriate investigations and analyses to the extent practical and possible in the scope of the assignment. The value estimate subsequently cited is predicated on a physical inspection, an analysis of that data considered pertinent to market value and my experience from previous appraisal assignments. I have not previously appraised or provided any professional services on this property within the past three years. This report is structured to answer what the current estimated market value of the subject real estate would be as of March 23, 2021: TWO HUNDRED FIFTEEN THOUSAND DOLLARS ($215,000) The attached report and contents were prepared exclusively for your information and assistance regarding the stated function. No other party is entitled to or shall rely on the information and conclusions contained in this report unless written permission has been obtained from Delaware Appraisal Group, L.L.C. Thank you for the opportunity to complete this assignment. I trust that the reporting of my analyses and conclusions adequately and satisfactorily addresses your questions regarding the subject real estate. COVID-19 has been declared a pandemic by the World Health Organization (WHO) and a national state of emergency is in place. Substantial turmoil has occurred in financial markets and due to the developing situation, it is not possible at this time to quantify its long-term or short-term effects on real estate markets or on the subject property. The value opinions contained in this appraisal are based on findings of an analysis of market data available to the appraiser at the time to the assignment. The reader is cautioned and reminded that the conclusions presented in the appraisal report apply only as of the effective date indicated. The appraiser makes no representation as to the effect on the subject property by an unforeseen event, subsequent to the effective date of the appraisal. Respectfully Submitted, Steven J. D Item 1. 1 SCOPE OF APPRAISAL ASSIGNMENT The process of assembling this appraisal report began with identifying and quantifying, in precise terms, the property to be appraised. The subject site was then fully inspected, and comparable market data was assembled. Specific sale data was supported with a variety of preceding information, including general market information and specific factual data on the subject, regarding zoning, taxes, potential natural and environmental hazards, and a full description of the property. Public records, property owners, real estate brokers and data systems of other appraisal firms, as well as internal and confidential records maintained by Delaware Appraisal Group, L.L.C., were researched, in order to obtain the sales data, in addition to other pertinent economic data, presented in this report. In assembling and analyzing the primary data I have on this, or on recent, occasions, driven the neighborhood; inspected at least the exterior of the property in this vicinity; researched those sales selected as being most comparable to the subject; fully inspected the interior and exterior of the subject property; considered the highest and best use of the subject property; applied the most appropriate valuation technique; reconciled all value indications, and arrived at a value conclusion for the subject property. Purpose and Function of Appraisal: At your request, I have completed an analysis of the subject property for the purpose of estimating market value of its fee simple interest on an "as- is" basis. Date of the value estimate is March 23, 2021, the day my physical inspection of the real estate was completed. This value estimate is to be utilized by Mr. James P. Hylind, and his affiliates, as the basis for determining fair market value for a donation decision. Your appraiser does not authorize and is not responsible for use of this report by any party other than the previously cited client and intended user of the appraisal. It should be noted that this appraisal assignment and final value estimate are not based on a requested minimum valuation, a specific valuation, or the approval of a loan. • 11

D Item 1. 2 Property Rights Appraised: Fee Simple Estate. Definition of Fee Simple Estate: Absolute ownership unencumbered by any other interest or estate, subject only to the limitations imposed by the governmental powers of taxation, eminent domain, police power and escheat. A fee simple estate is an inheritable estate. Definition of Leased Fee Estate: Landlord’s (lessor’s) interest in fee estate, bound by a stated term and other conditions of a lease or leases conveying rights, usually use and occupancy, to one or more tenants (lessees). Definition of Market Value: The most probable price which a property should bring in a competitive and open market under all conditions requisite to a fair sale, the buyer and seller each acting prudently and knowledgeably, and assuming the price is not affected by undue stimulus. Implicit in this definition is the consummation of a sale as of a specified date and the passing of title from seller to buyer under conditions whereby: 1. buyer and seller are typically motivated; 2. both parties are well informed or well advised, and acting in what they consider their own best interests; 3. a reasonable time is allowed for exposure in the open market; 4. payment is made in terms of cash in US dollars or in terms of financial arrangements comparable thereto; and 5. the price represents the normal consideration for the property sold unaffected by special or creative financing or sales concessions granted by anyone associated with the sale. D Item 1. 8 Utilities: Delmarva Power provides electric service to the residents, with some individual municipalities providing electric service for residents and companies within their boundaries. The primary natural gas service providers in Kent County are Delmarva Power and Chesapeake Utilities Corporation, with propane gas available via many suppliers. Kent County has water supplied by local utilities, while sewer is provided through a county-owned sewer treatment plant, with improvements underway to add additional transmission and treatment capacity to accommodate future needs. Market Analysis: The market analysis forms a basis for assessing market area boundaries, supply and demand factors, and indications of financial feasibility. Primary data sources utilized for this analysis include CoStar Group, Kent County Chamber of Commerce and the Delaware Economic Development Office. Major employers in Kent County include DuPont (9,600), Bank of America (8,000), Christiana Care Health System (6,500), JP Morgan Chase (5,700) and the University of Delaware (3,300). Demographers project increased employment opportunities in Kent County over the next decade, with a sizable portion housed in health care and office space. Many homes in the immediate area of the subject properties offer garage parking availability. Neighborhood: The subject property is located on the western side of South State Street, located within the central incorporated area of Kent County, Delaware known as the City of Dover. This general geographical section of Dover is comprised of a mixture of commercial, institutional and residential land uses. The subject area is one of a middle socio-economic basis, with many of the existing structures exhibiting a nominal to fair degree of accrued depreciation. Overall, the area is well established, and there appears to be no single neighboring land use that would adversely impact the subject property. The subject possesses convenient access to several traffic arteries (Division/Loockerman Streets, U.S. Routes 13/113 and State Route 1), which facilities travel to and from the property. In synopsis, the subject property is located in an established section of the city with similar land uses. The existing use of the subject property, in a mixed office/apartment capacity, is considered to be in keeping with the general land use patterns of the neighborhood. In synopsis, the subject property is located among similar land uses with mixed use and/or commercial/institutional uses along State Street. No change in this pattern of real estate activity is foreseen within the next two to three years. Little, if any, appreciation is forecast for the subject property and the majority of the surrounding real estate through 2021. From available information, it would appear that the rather established socio-economic base of this geographical area will continue to impact the subject property and the general neighborhood for the foreseeable future. • 18

The interior finish includes mixed carpet/vinyl floors; mixed acoustical tiled/painted sheetrock ceilings with fluorescent/recessed lighting; 8’-10’ high painted plaster/sheetrock/wallpapered/wood paneled walls; and wood/vinyl double hung windows. Overall, the interior’s finish and overall condition appears to be average, and the property should be marketable as it currently exists. • 19

D Item 1. 22 Limiting Conditions and Extraordinary Assumptions: In concluding market value for the subject property, your appraiser hereby assumes that the building is structurally sound; and that no wood destroying insect or rodent infestation and/damage is present. The front façade needs replaced on the upper two floors. Also, the subject building may not be in conformance with the Americans with Disabilities Act (ADA), through the absence of access ramps, sidewalk curb cuts and widened doorways. It is the opinion of your appraiser that the pre- existing nature of the structure would not necessitate the correction of this situation, and the absence of such features is not considered to unduly affect the functional utility of the building, or adversely impact any future marketing of the property. Your appraiser does not express or imply any warranties whatsoever in these statements. The subject property is assumed to have no structural problems or environmental contamination that would render this value estimate null and void. No such problems or contamination are known to your appraiser, but I am not an expert in those fields and, therefore, make no guarantees as to the accuracy of this statement. With consideration given the age of the building, the reader may wish to have an environmental audit conducted with respect to the presence of lead paint, lead solder, asbestos floor covering/pipe wrapping or other asbestos containing materials (ACM’s) and various soil/substances, wastes, pollutants, material/contaminates (including asbestos, asbestos containing materials, petroleum products and any other substance or materials which are included under, regulated by or subject to any local, state or federal law, rule or regulation pertaining to environmental regulation, contamination, clean-up or disclosure. Also, an engineering report regarding the structural integrity of the building may be warranted, although no “glaring problems” were observed. The value provided herein is exclusive of the fees to complete such reports and/or the cost to cure or any structural deficiencies that may be discovered. If any environmental contamination or structural problems were detected, the property’s market value would be reduced, at the very least, by the "cost-to-cure" such contamination and/or problems. It is further assumed that the parcel does not contain any type of dump site and that there are no underground tanks (or any underground source) leaking toxic or hazardous chemicals into the ground or the environment unless otherwise noted in the report. In fact, available information indicated that there are no underground fuel storage tanks located on the subject property in a non-functional or abandoned nature. No extraordinary assumptions were made in this assignment. • 32

D Item 1. 23 HIGHEST AND BEST USE Highest and Best Use is defined as "The reasonably probable and legal use of vacant land or an improved property, which is physically possible, appropriately supported, financially feasible and that results in the highest value". Because use of land can be limited by the presence of improvements, Highest and Best Use is determined separately for the site as though vacant and available to be put to it Highest and Best Use and for the property as presently improved. The Highest and Best Use of the site as though vacant and the property as improved are analyzed and each use must meet the following four criteria: 1) Legally Permissible - that use which is or will be permitted under existing or reasonably attainable zoning and/or other regulations; 2) Physically Possible - that use for which the property is physically suitable or adaptable; 3) Financially Feasible - that use for which there is an economic, social and/or market demand that results in a positive return; 4) Maximally Productive - that use which produces the highest price, or value, consistent with the rate of return warranted by the market. "As Vacant Land" - Under this premise, I am of the opinion that the maximum dollar value of the subject property would be realized through development of the land with commercial space. Such usage would be in keeping with the general character of the subject neighborhood, and its current C-2 (Central Commercial) zoning category. "As Improved" - Under this premise, I am of the opinion that the maximum dollar value of the subject property would be realized through its continued mixed office/apartment use on its 0.02+/- acre site. This use would satisfy the four above-mentioned criteria. With consideration given the pertinent site features, improvement characteristics and the demand for such real estate in the prevailing marketplace, I have concluded that the optimum utilization of the subject property would be realized through its use as cited above, whereby its highest value could be obtained, if offered for sale on the open market. • 33

Page 34

D Item 1. 24 APPRAISAL PROCESS The estimating of a real property's market value involves a systematic process in which the problem is defined; the work necessary to solve the problem is planned; and the data required is gathered, classified, analyzed and interpreted into an estimate of value. In this process, three basic approaches are used by the appraiser, which are defined in the 3rd edition of the Dictionary of Real Estate Appraisal by the Appraisal Institute as: THE COST APPROACH estimates the cost of replacing the property's improvements, depreciating the improvements to their present worth, if applicable, then adding this to 1) depreciated value of the improvements to 2) the property's land value, and 3) the value of any site improvements, to derive an indication of market value. This approach is typically utilized where the major improvements are new or nearly new and depreciation can be reliably estimated, or where special purpose property is concerned. The age of the subject building exceeds 90 years, and experiences some degree of accrued depreciation. Any attempt to determine accrued depreciation for the subject structure would be arbitrary at best, with the resulting indication of value considered to be somewhat unreliable as a benchmark in the overall valuation of the subject real estate. In addition, active market participants do not typically base their buy/sell decisions on cost parameters, such as cost equals value, when analyzing owner-user or income producing property. With consideration given these factors, this approach has not been utilized. INCOME CAPITALIZATION APPROACH is a set of procedures through which an appraiser derives a value indication for an income-producing property by converting its anticipated benefits (cash flows and reversion) into property value. This conversion can be accomplished in two ways. One year's income expectancy can be capitalized at a market-derived capitalization rate that reflects a specified income pattern, return on investment, and change in the value of the investment. Alternatively, the annual cash flows for the holding period and the reversion can be discounted at a specified yield rate. The structure on this site could represent a good type of investment real estate, however, the building is lacking its front façade on the upper two floors, and the City of Dover will not permit any occupation of the building until the façade is repaired. Therefore, this approach has not been utilized in this assignment. • 34

Page 35

D Item 1. 25 DIRECT SALES COMPARISON APPROACH is a set of procedures in which a value indication is derived by comparing the property being appraised to similar property that have been sold recently, applying appropriate units of comparison, and making adjustments to the sale prices of the comparables based on the elements of comparison. The Direct Sales Comparison Approach may be used to value improved property, vacant land, or land being considered as though vacant; it is the most common and preferred method of real estate valuation when comparable sales data is available. This approach has been utilized in this assignment. RECONCILIATION is the last phase of any valuation assignment in which the various value indications derived from market data are resolved into a final value estimate, which may be either a final range of value or a single point estimate. Normally the appraiser will base an opinion of market value on one or more of these three approaches, properly emphasizing one or another as the circumstances may warrant. With respect to the property under appraisement, only one of the approaches was considered in concluding a final value estimate for the subject property. It is the opinion of your appraiser that the Direct Sales Comparison Approach most accurately reflects the thinking of a buyer for the subject property in the prevailing marketplace. VALUE ESTIMATE BY THE DIRECT SALES COMPARISON APPROACH This approach has at its core the principle of substitution, which states that "a prudent purchaser will pay no more for real property than the cost of acquiring an equally desirable substitute on the open market". Thus, the property's total value can be estimated by this method. It should be noted that under this approach to value, the subject property has been compared to the available sales involving other multi-tenant commercial zoned buildings in the subject’s market on a unit basis of "Dollars per Square Foot of Building, Including Land ($/SFBIL) paid". It has been my experience that this unit of comparison is reliable, since it is commonly utilized or cited in the listing, sale, purchase and/or appraisal of such real estate. The unit values were then adjusted to reflect the differences in the individual sales as compared to the subject for such factors as time, location, site features, building characteristics and the prevailing market conditions. The value range, as indicated by the adjusted comparable property, is correlated into a final indication of value for the subject property. The following sales within the City of Dover were considered most representative of the subject property: • 35

D Item 1. 33 GRID ANALYSIS DISCUSSION o Property Rights Conveyed: All sales were transacted in leased fee interests, therefore no adjustments were made to any of the comparable sales; o Financing Terms: Available information indicated that all of the sales transferred with no special financing or seller concessions utilized, therefore no adjustments were warranted; o Conditions of Sale: Available information indicated that no unusual conditions or circumstances are known to have impacted the cited sales, therefore no adjustment was made; o Market Conditions: The demand for such mixed-use properties realized a sustained activity during 2003-2006, however, a changing marketplace demonstrated a diminished demand since late 2007-2008, with a discernible decline in value evidenced into 2008. The market for such real estate appears to have stabilized somewhat in the first/second quarters of 2009 through today, therefore no adjustments were applied to the comparable sales for this factor; o Location: The subject property is located in a favorable location with similar amenities and traffic exposure to all comparable sales, therefore no adjustments were necessary for this category; o Building Utility/Condition: The subject is considered to possess a good functional utility, which was similar to all comparable sales, therefore no adjustments were necessary for this factor. The subject was in need of a new facade, which made it inferior to all comparable sale, therefore downward adjustments were made to all cited sales. Sale #2 was given an additional downward adjustment to reflect its recent major renovations, relative to the subject building; o Building Size: A downward adjustment was given to comparable Sale #4 for its smaller building size, while Sales #2 and #3 were given various upward adjustments for their various larger building sizes, relative to the subject building. There is an inverse relationship between building size and unit price with larger buildings typically commanding lower unit prices, while smaller structures tend to experience higher unit prices; o Land Utility: The subject site possesses a slightly inferior land utility to Sales #3 and #4, which offered some onsite parking availability for tenants/customers, therefore downward adjustments were applied to those two sales. o Land Size: Comparable Sales #2, #3 and #4 were given various downward adjustment to reflect their various superior site sizes (land-to-building ratios), relative to the subject site; o Zoning: Comparable Sales #2 and #3 possessed inferior zoning classifications that allowed less intensive land uses than the subject site, therefore upward adjustments were warranted to those cited sales for this factor. • 43

Page 44

D Item 1. 34 The foregoing analysis indicated an adjusted value range for the subject property of $74.07/SFBIL to $81.18/SFBIL. With consideration given the prevailing marketplace, and the salient features of the subject property such as its location, site features and building characteristics, I have concluded market value for the subject property, through an application of the Direct Sales Comparison Approach, to be: 2,690+/- SFBIL @ $80.00/SFBIL = $215,200 Rounded to $215,000 • 44

Page 45

D Item 1. 35 FINAL RECONCILIATION AND VALUE CONCLUSION Final reconciliation is the process of coordinating and integrating related facts to form a unified conclusion. An orderly connection of interdependent elements is necessary for a reliable determination of value. This requires a re-examination of specific data, procedures and techniques within the framework of approaches used to derive preliminary estimates. The methodology used in the preceding sections of this report is considered to be recognized appraisal technique, and was reviewed in terms of adequacy, accuracy completeness of reasoning and overall reliability. The estimates thus concluded, which are primarily based on available market data, produced the following figures: COST APPROACH: N/A INCOME CAPITALIZATION APPROACH: N/A DIRECT SALES COMPARISON APPROACH: $215,000 Through the application of the most relevant of the three approaches to value, I have attempted to show the reader my thinking and reasoning as it applied to the subject property. My analysis was oriented towards a use of the subject with mixed office/walkup apartment space. From my investigation of pertinent data, I have concluded that this was a reasonable and prudent use of the property and, therefore, this appraisal reflects a value that would be considered applicable by a knowledgeable, prospective buyer for the property. It is my opinion that a potential buyer for the property would have incorporated the Direct Sales Comparison Approach as the most relevant valuation approach in their analysis, when contemplating a possible purchase of the real estate. Having considered all of the real estate data presented herein, the facts and circumstances relative to the subject and the actions of the local real estate market, I have concluded market value of the subject property to be: TWO HUNDRED FIFTEEN THOUSAND DOLLARS ($215,000) • 45

Page 46

D Item 1. 36 REASONABLE EXPOSURE TIME Reasonable exposure time is one of a series of conditions in most market value definitions. Exposure time is always presumed to precede the effective date of the appraisal, and may be defined “as the time the property remains on the market, or the estimated length of time the property interest being appraised, would have been offered on the market, prior to the hypothetical consummation of a sale, at a market value, on the effective date of the appraisal”. Exposure time is a retrospective estimate, based on an analysis of past events, assuming a competitive and open market. Sales of similar real estate generally illustrate a wide range in time, from official offering of the property, to closing of the sale that approximates six months to a year and a half. It is noted that a reasonable exposure time presumes a concerted and sufficient effort to sell the property at a fair and appropriate price. However, discussions with local market participants indicate that this type of property is typically not marketed in the time sense, but rather, a property owner will offer an open listing at an unspecified price, or above market price, while not needing to sell. In essence, nearly all property is for sale “at the right price”. This, in many cases, tends to skew exposure times of sold property. Generally, for property located in Kent County, such as the subject, a reasonable exposure period of six months to one year, from offering the property for sale, to settlement on the contract. This is consistent with my discussions with brokers, lenders, investors and/or other knowledgeable parties that have been involved in transactions with similar real estate. Therefore, based on available data, and with consideration given the prevailing marketplace, I have concluded that a reasonable exposure period for the subject real estate would be six months to one year. In addition, it should be noted that a forced sale, one requiring a significantly shorter marketing/exposure period, could cause a substantial reduction in the cited value estimates. • 46

This analysis is applicable only under the assumptions and limiting conditions stated. No fractional part of this appraisal is to be used in conjunction with another appraisal; such use renders it invalid. 2. No responsibility is assumed by the appraiser for matters which are of a legal nature, nor is any opinion on the title rendered herewith. Title is assumed to be marketable and free and clear of all liens and encumbrances, except as specifically described in the appraisal report. 3. Exhibits are included to assist the reader in visualizing the property. No survey of the property has been made by the appraiser and no responsibility is assumed in connection with such matters. The exhibits included in the report are for illustrative purposes only. The analysis covers the property as described within the report, and areas and dimensions noted are assumed to be correct. 4. Unless otherwise noted herein, it is assumed that there are no encroachments, zoning or restriction violations existing on or in the subject property. This appraiser assumes no responsibility for matters of these natures such as validity and enforceability of leases and other rights, compliances, zoning and other laws. The appraisal assumes that there are no existing judgments or pending or threatened litigation that may affect the value of the property. 5. Information, estimates and opinions contained in the report were obtained from sources considered reliable; however, no liability for them is assumed by the appraiser. 6. The appraiser herein, by reason of this report, is not required to give testimony in court, attend pre-trial conferences or appear as required by subpoena with reference to the property appraised, unless arrangements have been previously made therefore. 7. All mortgages, liens, encumbrances, leases and servitude have been disregarded unless so specified within the report. The property was appraised as though under responsible ownership and competent management. 8. This appraisal assumes that there are no hidden or unapparent conditions of the property, subsoil or existing structures which would render it more or less valuable. This appraiser assumes no responsibility for such conditions or for engineering which might be required to discover such factors. It is assumed, where applicable, that underground improvements, as well as utilities, are in place and connected. 9. It is assumed that all required licenses, consents or other legislative or administrative authority from any governmental or private organization have been or can be obtained or renewed for any use on which the value estimate in this report is based. 10. Portions of the property not inspected by the appraiser (if any) are assumed to be as reported or similar to other portions which were inspected. 11. It is assumed that there is full compliance with all applicable federal, state and local environmental regulations and laws unless non-compliance is stated, defined and considered in the appraisal report. • 47

Page 48

D Item 1. 12. No changes in the federal, state or local laws, regulations or codes (including, without limitation, the Internal Revenue Code) are anticipated. 13. No responsibility is assumed for events, actions, conditions or circumstances affecting the property or its value that transpire subsequent to the date of value contained in the report, or the date of field inspection, whichever occurs first. 14. The value conclusion(s) applies to the real estate only; it does not include personal property, machinery and equipment, trade fixtures, business value, goodwill, or other non-realty items. Income tax considerations have not been included or valued. This appraiser makes no representations as to the value increment which may be attributed to such consideration, unless noted herein. 15. The assumption is made that the property is not contaminated nor will it be hazardous in the future. It must be clearly understood that the existence of hazardous material, which may or may not be present on the property, was not observed by the appraiser, nor is there any knowledge of the existence of such materials on or in the property. This appraiser, however, is not qualified to detect such substances. The presence of potentially hazardous substances including, but not limited to, asbestos, urea formaldehyde foam insulation, lead paint, other EPA listed materials, or underground gasoline or fuel storage tanks may affect the value of the property. The value estimate provided is predicated on the assumption that there are no such materials or structures on or in the property that would cause a loss of value. No responsibility is assumed for any such conditions, or for any expertise or engineering knowledge required to discover them. The client is urged to retain an expert in this field, if desired. 16. The valuation is limited to the surface rights of the property and does not consider positive or negative effects to value due to subsoil conditions, mineral rights, etc., which would render the property more or less valuable. No subsoil analysis or testing was authorized or performed, and no responsibility is assumed for such conditions or for engineering which may be required to discover them. 17. No chemical or scientific tests were performed by the appraiser on the subject property, and it is assumed that the air, water, ground and general environment associated with the property present no physical or health hazard of any kind unless otherwise noted in the report. It is further assumed that the site does not contain any type of dump site and that there are no underground tanks (or any underground source) leaking toxic or hazardous chemicals into the ground water or the environment unless otherwise noted in the report. 18. The assumption is made that all necessary building permits, subdivision permits and approvals, ingress and egress easements, off-site improvements and other permits are in-place and paid for and that the property will be delivered on an essentially "free and clear" basis. Mortgage requirements or other debt are not factored into the value estimate. 19. The physical conditions of any building, structure, site improvements or other improvements noted herein or on the property is based on a visual inspection. Electrical, heating, cooling, plumbing, roofing, sewer and/or septic system, mechanical equipment, water supply and the like are not specifically tested, but are assumed to be in good working order and adequate unless otherwise specified. No liability is assumed for these items or for the soundness of structural members since no engineering tests were made. If the client or any reader of the report has any concern regarding the structural, mechanical or protective components of the property described herein, or the adequacy or quality of utilities or the improvements, it is suggested that independent contractors, engineers or other experts in these disciplines be retained. • 48

Page 49

D Item 1. 20. Economic conditions are generally assumed to be consistent with the current state of the economy, including interest rates on loans that were available as of the date of the analysis. No responsibility is assumed for changes in market conditions or for the inability of the client or any other party to achieve their desired results based upon the analysis herein. The analysis necessarily incorporates numerous estimates and assumptions regarding property performance, general and local business and economic conditions, the absence of material changes in the competitive environment and other matters. Some estimates and assumptions, however, will inevitably not materialize. Non-anticipated events and circumstances may occur; therefore, actual results achieved during the period covered by the analysis will vary from the estimates and the variations may be material. 21. This report represents a value estimate based on the analysis as of a specific date and upon information known at the time the analysis was made. This appraiser does not assume any responsibility for incorrect analysis based on incorrect or incomplete information. If new information of significance comes to light, conclusions in this report are subject to change. 22. This report was not prepared and shall not be used in connection with raising funds for the purchase of an equity interest in the property, including real estate limited partnerships and syndications. 23. No responsibility is accepted by this appraiser for considerations requiring expertise in other fields. Such considerations include, but are not limited to, legal descriptions and other legal matters; geologic considerations such as soils and seismic stability; and civil, mechanical, electrical, structural and other engineering and environmental matters. 24. On all appraisals subject to satisfactory completion, repair or alterations, this report and value conclusion are contingent upon completion of the improvements in a quality, workmanlike manner. 25. The American with Disabilities Act (referred to hereafter as the "ADA") became effective on January 26, 1992. This appraiser has not made a specific compliance survey and analysis of the building and/or other improvements erected on the subject property to determine whether or not the appraised property is in conformity with the various detailed requirements of the ADA, or with requirements imposed by state law and local building codes and regulations. It is possible that a compliance survey of the property, together with a detailed analysis of the requirements of the ADA and state and local regulations, could reveal that the subject property is not in compliance with one or more requirements of the ADA and/or state and local regulations. If the property does not comply with the ADA or with state and local regulations, this fact could have a negative effect upon the value of the property. Since this appraiser has no direct evidence relating to this issue, possible non-compliance with the requirements of the ADA and state and local regulations has not been considered in estimating the value of the property. No responsibility is assumed for any possible non-compliance with the requirements of the ADA or with state and local regulations, nor for any expertise or engineering knowledge required to discover such non-compliance. 26. Mr. Hylind has been granted several periods to make repairs or sale the building, to which none has been done. After talking with Mr. Hugg it was decided (against my better judgement) to give a 180 day reprieve from further enforcement action from the City. As I said we are in the process of seeking bids for the facade rebuild. We have contacted at least 5 local contractors In an attempt to secure a bid. To date we have only received 1 itemized proposal from Tidemark Construction. I am still awaiting the others to provide some numbers. As things currently stand I am getting some rough numbers which are quite grim, potentially Jeopardizing a rebuild and I am now considering applying for a demolition permit. I am also In talks with the Downtown Dover Partnership about their potential purchase of the building, as well and I need more time to ferret that opportunity out. I would like to formally request a 60 day extension to have adequate time to make my decision as these options become more clear. I look forward to hearing from you. Thank you again for your consideration . Jim Hylind (443-841-5035 • 71

It was taken before City Council as an emergency dangerous building, it was ordered to be stabilized while Mr. Hylind worked with the insurance company(ies). I have spoken with Mr. Hylind and he stated that he just settled with Insurance company, he will be having plans submitted soon and then work would begin. Mr Hylind does not reside at the property, he is the property owner. Mr. Hylind has not received any fines(yet) from the City. I feel this department has been very patient in working with Mr. Hylind. He inquired about the City taking over the building, him donating as it sits to the City. I referred him to the City Managers/Mayors office. This is way above my pay grade. D Item 1. SPECIAL COUNCIL MEETING A Special Council Meeting was held on November 5, 2019 at 6:02 p.m. with Council President Hare presiding. Council members present were Mr. Anderson, Mr. Neil, Mr. Cole, Mr. Polee, Mr. Taylor, and Mr. Lindell. Mr. Slavin and Mr. Sudler were absent. Mayor Christiansen was also present. Council staff members present were Deputy City Solicitor Pepper, Mr. Hugg, and Mrs. McDowell. ADOPTION OF AGENDA Mr. Neil moved for adoption of the agenda, seconded by Mr. Lindell and unanimously carried. PUBLIC HEARING - VIOLATION OF THE DANGEROUS BUILDING ORDINANCE - PROPERTY LOCATED AT 304 SOUTH STATE STREET, OWNED BY ,JAMES P. HVLIND (EMERGENCY CASE) A public hearing was duly advertised for this time and place to consider a violation of the Dangerous Building Ordinance at 304 South State Street, owned by James P. Hylind. Council President Hare read the following correspondence into the record from Councilman Slavin: "The matter before us this evening is one which I have a conflict of interest in, owing to my position in state government. As such, I will not participate in the discussions and as this is the only matter before us this evening, I will not be in attendance. Thank you." Mr. David Hugg, Director of Planning and Community Development, and Mr. Jason Osika, Fire Marshal, reviewed a presentation depicting the condition of the property (Exhibit #1). Mr. Hugg advise that they had been in regular contact with the owner and the owner's agent since the evening of the event and they have been very cooperative and have pledged to get this building repaired. He noted that staff was not asking for permission to go in and take action but for permission to be authorized to do so, if for some reason the corrective action is not taken. Mr. Osika provided a time line of the conversations with and notifications to the property owner and those having equity in the property. Responding to Mr. Taylor, Mr. Osika advised that he had not seen the structural engineer's report; however, a visual inspection the night of the incident indicated that there was no damage to nor stress on any of the surrounding buildings. Mr. Taylorasked if the Downtown Dover Partnership (DDP) grant for the repairs had been approved. Mr. Osika replied that the application had been accepted based on the circumstances to allow the work to start. Mr. Hugg stated that he did not believe that the DDP had approved the fa9ade grant. He noted that the property owner had also applied for a State historic district tax credit and he thought that both applications would be approved fairly soon, if they had not yet been. Mr. Polee, referring to the work standstill the previous week, asked what had been communicated to Mr. Osika regarding the standstill. Mr. Osika advised that originally the insurance company • 91

Page 90

D Item 1. SPECIAL COUNCIL MEETING OF NOVEMBER 5, 2019 PAGE2 verbally told them in a phone call to do what needed to be done to make the building safe. Mr. Osika stated that when the insurance company found out how much the cost was going to be, it was elevated to another supervisor and work was stopped until they could send an adjustor to look at the damage. He noted that the earliest that the field adjustor could be here was November I 2, 2019. Responding to Mr. Polee, Mr. Osika stated that the barrier and thoroughfare had been blocked by the Delaware Department of Transportation (DeIDOT) at the owner's expense. Mr. Polee noted that it was a bit frustrating, not only for the owner but for the City. He advised that he had heard from the downtown business community and merchants who want to know when they can expect the thoroughfare to be opened. Mr. Polee stated that his typical response was that they did not want to put citizens' lives in jeopardy. He noted that it was a shame that a field adjustor was holding up the process 16 days into it. Mayor Christiansen advised that he had received an email from Mr. Tom Smith from the Delaware Made store about the effect that the street closure was having on his business. Mayor Christiansen asked about the possibility of blocking State Street off north of the northern section of The Green, rather than where it is currently blocked off. Mrs. Donna Mitchell, City Manager, advised that she had requested DelDOT to move the barricade to allow traffic around The Green and out Bank Lane. She stated that they explained that there has to be distance between the barricade and where the actual problem is and they would not move it. Mrs. Mitchell noted that DeIDOT was not happy that it was taking so long. Mayor Christiansen recommended that he and Mrs. Mitchell contact the Secretary of Transportation to request a special dispensation with creating an alternate route along State Street. Mr. Hugg added that once the existing fac;ade is removed the road and sidewalk can be reopened while the reconstruction activity is taking place. He stated that the only reason that they were securing the roadway was to prevent anybody being injured by falling materials or an unforeseen collapse of the rest of the old fa9adc. Mr. Osika stated that the adjuster would be onsite a week from Friday, which is when the roadway should reopen. Mr. Neil suggested contacting the State Insurance Commissioner's Office and requesting them to contact the insurance company since this is hurting the City of Dover and the businesses in the City and possibly anybody who is walking past that building. Council President Hare declared the public hearing open. Mr. David Hood, Professional Loss Consultant with Goodman-Gable-Gould Adjustors International, 3903 Naylors Lane, Baltimore, advised that they arc called in for a fire, a building collapse, a hurricane or a tornado, etc. for damages to either a commercial property or a residential property to help the insured measure, document, and negotiate their insurance loss with their insurance companies. He advised that insurance companies arc for-profit companies and they do not move very quickly because they have to do the best that they can to measure the loss on their behalf, not the insured's. Mr. Hood stated that~hcn loss consultants get involved, it docs not slow down the process because they are able to dive in to figure out what the problems are. • 92

Page 91

D Item 1. SPECIAL COUNCIL MEETING OF NOVEMBER 5, 2019 PAGEJ Mr. Hood explained that they contacted the insurance company to send a substitute adjuster immediately to the site because the other adjuster was out of the country until November 11, 2019, which they did. He noted that he and his building consultant met with the substitute adjuster onsite the previous day. Mr. Hood advised that the other adjuster is still coming on November 12, 2019; therefore, it was not necessary to contact the Insurance Commissioner. Mr. Hood stated that BRS Consulting, Inc., a historic preservation construction company, is putting up the scaffolding and taking down the building while preserving the outer bricks for the historic preservation of the building. He noted that anything in the interior that has deteriorated is being removed and disposed of. Mr. Hood advised that once the fa9ade is removed and they are able to put a protective covering on the outside of the building to preserve it from weather, a temporary wall will be built. He stated that it would take time to reconstruct that part of the building and a while for the insurance company to agree to the estimates. Mr. Hood noted that they have to write an estimate of what needs to be done for the insured and then he will use those estimates to negotiate with the insurance company and make sure that the insured has enough funds to be able to rebuild the building the way that it should be rebuilt, safely and with the historic preservation of the building. He advised that his best guess estimate was that the work to take down the building should be done by Wednesday of the following week and the road should be open by Friday of the following week. There being no one else present wishing to speak, Council President Hare declared the public hearing closed. Staff recommended: 1) declaring this building dangerous; 2) ordering the property repaired so that it is deemed safe by the Building Official by November 15, 2019 by the owners or equity owners at their own risk; 3) ordering the Building Inspector to cause the repairs so that it is deemed safe by the Building Official if not completed by the owners within IO days of the date established by City Council; and 4) ordering the City Manager, with the assistance of the City Solicitor, to cause the cost of repairs to be charged against the lands on which the building exists as a municipal lien or cause such costs to be added to the tax duplicate as an assessment, or to be levied as a special tax, or to be recovered in a suit at law against the owners. Mr. Lindell moved for approval of staff's recommendation to: 1) declare this building dangerous; 2) order the property repaired so that it is deemed safe by the Building Official by November 15, 2019 by the owners or equity owners at their own risk; 3) order the Building Inspector to cause the repairs so that it is deemed safe by the Building Official if not completed by the owners within 10 days of the date established by City Council; and 4) order the City Manager, with the assistance of the City Solicitor, to cause the cost of repairs to be charged against the lands on which the building exists as a municipal lien or cause such costs to be added to the tax duplicate as an assessment, or to be levied as a special tax, or to be recovered in a suit at law against the owners. Additionally, that the Mayor and City Manager contact the Secretary of Transportation to look for an alternate path to open up The Green a little bit more for the downtown businesses to, hopefully, have some business. The motion was seconded by Mr. Anderson and carried by a unanimous roll call vote (Slavin and Sudler absent). • 93

0 On 10/20/19@ 18:12 hours, the Fire Marshal was contacted by the Dover Fire Department after they responded to 304 S. State St. for a structural collapse with a subject possibly trapped. The subject was assisted out of the building by the Fire Department. 0 The Fire Marshal observed damage to the building including damage to the first-floor overhang, a section of the second-floor wall which had collapsed, facia which was hanging, large cracks above the third floor and at the parapet wall, and the front of the building bowing 0 The electric and gas were secured to the building that night. Water was secured to the building later within the week. Water was delayed due to safety concerns with the location of the shutoff. 0 The first and second floor house business offices and the third floor is an apartment. The one resident was displaced and assisted by Red Cross. 0 The building was condemned on 10/20/19. 0 State St. was closed between North St. and the Green due to concerns of the building collapsing more. 0 The Fire Marshal spoke to the property owner on 10/20/19 and advised him that a structural engineers report would be required by a licensed contractor and repairs would need to be made from that report to make the building safe in a timely manner or the City would make such repairs and place a lien on the property. • 96 • Item 1.

On the morning of 10/21/19 the Fire Marshal, Building Inspector, and Code Enforcement met onsite with the building owner and an engineer that the owner hired. The insurance company was involved by phone. It was determined that the engineer would generate a report and that we would meet in the afternoon in reference to a plan/ schedule to have the wall secured. On the afternoon of 10/21/19 the Fire Marshal, Building Inspector, and Code Enforcement met with the building owner, an engineer hired by the owner, and a contractor hired by the owner. The plan forward was to stabilize the building and evaluate what needs to be done to make the building safe. The engineer and contractor was going to work together on the project. They felt that the front wall would need to be removed and secured until a decision could be made on how to put the wall back in place. The contractor was deemed responsible to come into compliance with Del Dot due to State St. being a State roadway. .:.-=:~iii:3il~::.=.:iiE:::::=::J:: :S:- On 10/28/19, the Fire Marshal and Building Inspector were advised that the insurance company had placed the engineer and contractor on hold until they could have a representative on scene (estimated November 12, 2019). The Fire Marshal spoke to the owner regarding the same. • 97 • Item 1.

0 It was determined that the support beams run South to North so the property would not need to be shored up. The front wall would need to be removed brick by brick. Cosmetic pieces would be saved. 0 All communication has been verbally. We have not seen a structural engineers report. • 98 • Item 1.
