Statement dated July 1, 2008, copies of which have been presented to this meeting, and their
distribution to prospective purchasers.
The Council hereby ratifies the actions taken by the Mayor and Treasurer in
executing the Official Statement in the name of The City of Dover, supervising its distribution to
the Underwriters, to municipal securities information repositories and to potential purchasers and

hold a majority of the Bonds outstanding under the Bond Resolution and shall have consented
thereto. The notice of amendment to bondholders required by Section 1002 of the Bond

represents and covenants with the holders of the 2008 Bonds that:

done in order to make this Ratifying Resolution binding on the City have been satisfied or done, as
the case may be.

THE BOND RESOLUTION AND FROM THE INTEREST AND SINKING FUND

This bond is one of a duly authorized series of revenue bonds of the City,
designated “Electric Revenue Bonds (Series 2008)”, in the original aggregate principal amount
of $22,200,000 (the “2008 Bonds”) issued pursuant to a Resolution adopted by the City on
December 23, 1985, as amended and restated by Amending and Restating Electric Revenue
Bonds Resolution Adopted August 23, 2004 and Resolution No. 2008-05.1 adopted March 10,
2008 (collectively, the “Bond Resolution”) and a Ratifying Resolution adopted July 14, 2008 to
provide funds for (i) financing or reimbursing the City for certain improvements to the City’s
Electric System; (ii) to fund a debt service reserve fund and (iii) pay the costs of issuance of the
2008 Bonds. The Bond Resolution also provides for the issuance, from time to time, under the
conditions, limitations and restrictions therein set forth, of additional Bonds for the purpose of

“Electric System”), and for the purpose of refunding any Bonds issued by the City under the
provisions of the Bond Resolution. Reference is hereby made to the Bond Resolution for the
provisions, among others, with respect to the custody and application of the proceeds of Bonds
issued under the Bond Resolution, the collection and disposition of revenues, the funds charged
with and pledged to the payment of the interest on and the principal of the Bonds, the nature and
extent of the security, the terms and conditions on which the Bonds of each series are or may be
issued, the rights, duties and obligations of the City and of the Trustee under the Bond
Resolution and the rights of the owners of the Bonds, and, by the acceptance of this bond, the
owner hereof assents to all the provisions of the Bond Resolution.

the Constitution and laws of the State of Delaware, particularly Chapter 111, Volume 52, Laws
of Delaware, as amended by Chapter 340, Volume 57, Laws of Delaware, (the “Enabling Act”).

Resolution, certain reserves therefor and the required level of contribution to the Improvement
and Extension Fund, the Bond Resolution permits the City to apply the net revenues remaining
from the Electric System to any lawful purpose of the City.

to the redemption date.
The 2008 Bonds are also subject to extraordinary optional redemption, prior to
maturity, as and to the extent provided in the Bond Resolution.

Page 2
This is an application to amend the zoning of the subject parcel from C-3 (Service Commercial
Zone) to C-2A (Limited Central Commercial Zone). The amendment is being requested by
Newbofox Properties, LLC.
Existing Property
The existing property is known as Twin Oaks Professional Center and is the former site of the
Delaware State News operation. A site plan was reviewed by the Planning Commission in
January 2007 (S-07-01).
Surrounding Land Uses:
The subject parcel is a triangular parcel bordered on all sides by streets (Webbs Lane, New
Burton Road, and Garton Road). The railroad tracks lie west of New Burton Road, across from
the subject parcel. The land east of Garton Road is zoned C-3 (Service Commercial Zone), and
the land south of Webbs Lane, in unincorporated Kent County, is Dover Building Supply, zoned
BG (General Business).
Comprehensive Plan:
The 2003 Update to the Comprehensive Plan, as amended in May 2005, September 2006, March
2007, and March 2008, depicts the parcel in question as Commercial land use. Both the current
zoning and the requested zoning are consistent with the Commercial land use designation.
Request for C-2A (Limited Central Commercial Zoning)
14.1Uses permitted. In a limited central commercial zone (C-2A), no building or premises shall
be used, and no building or part of a building shall be erected, which is arranged, intended, or
designed to be used, in whole or in part, for any purpose, except the following:
14.11 All uses permitted in the neighborhood commercial zone (C-1A).
14.12 Business, professional or governmental offices.
14.13 Banks, theaters and restaurants.
14.14 Dwellings for two or more families, provided that the entire lot occupied by a
multiple dwelling shall be maintained in single ownership throughout the life of the
building, or in multiple ownership under the provisions of the laws of the State of
Delaware relative to condominiums.
14.15 Hotels, clubs and places of worship.
14.16 Signs shall meet the regulations found in article 5, section 4, supplementary sign
regulations.
14.17 All permitted uses and all storage accessory thereto, other than off-street parking,
shall be carried on in buildings fully enclosed on all sides.
Recommendation of the Planning Staff:
Staff supports the rezoning request from C-3 (Service Commercial Zone) to C-2A (Limited
Central Commercial Zone). The request is consistent with the Comprehensive Plan the long-
term redevelopment of the area.
Staff’s recommendation was made prior to public hearing before the Planning Commission.
Following a public hearing on June 16, 2008, where no members of the public spoke in favor of
or in opposition to the application, the Planning Commission unanimously recommended in
favor of the rezoning application.
